Novations can also occur in the real estate sector, where a tenant passes on the rental period of a property to third parties. The tenant enters into the leaseLeaseA-leasing is a tacit or written agreement that defines the conditions under which a landlord agrees to rent a property that must be used by a tenant. The other party, which ultimately transfers responsibility for the payment of the lease, repairs of property damage and other obligations stipulated in the original lease. The parties can maintain the original lease or negotiate the terms of the contract until a consensus is reached. Here too, a business is sold and the buyer takes over the seller`s service contracts. The service can be in any sector, ranging from a fixed garden contract to ongoing computer or web maintenance. Novation changes the one that offers the service. While the benefits of a contract can be transferred without the consent of the other party, contractual obligations cannot be transferred. This means that the original part can only achieve this if the buyer (the new party) and the third party accept an innovation. Unlike an order that is universally valid as long as the other party is terminated (unless the obligation is specific to the debtor, as in a personal service contract with a certain ballet dancer, or if the assignment would involve a new and particular burden for the counterparty), an innovation is valid only with the agreement of all parties to the original agreement.
A contract transferred through the innovation procedure transfers all obligations and obligations from the original debtor to the new debtor. Although novation is similar in the concept of attribution, it is fundamentally different from it. If novation is a consensual transfer of rights or obligations, the assignment can only delegate obligations and does not require the agreement of the recipient party. Novation terminates the original contract, but not the assignment. Novation is the consensual replacement of a contract when a new party assumes the rights and duties of the original party and frees it from that obligation. In an innovation contract, the original party transfers its interest in the contract to another party – it is not a transfer of the entire company or assets. Innovation is required in scenarios where performance can no longer be implemented under the terms of the original contract. For example, if there is a contract in which Dan Einen will give the TV to Alex and another contract in which Alex Becky will give a television, then it is possible to renew both contracts and replace them with a single contract where Dan agrees to give Becky a television.
